1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern the provision of goods and services by Evergreen Glasshouse Solutions Ltd ("we", "us", "our", or the "Company") to you, the customer, client, purchaser, or user ("you" or "your"). By requesting a quotation, placing an order, making a booking, accepting a proposal, paying a deposit, permitting us to commence work, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services or proceed with any order. Any additional or different terms proposed by you shall not apply unless expressly agreed in writing by Evergreen Glasshouse Solutions Ltd.
2. Scope of Services
Evergreen Glasshouse Solutions Ltd provides greenhouse-related products and services, including but not limited to:
- Custom greenhouse design and installation;
- Aluminium and timber greenhouse supply;
- Greenhouse repairs and maintenance;
- Automated ventilation and climate control systems;
- Shelving, staging, and crop support fittings; and
- Replacement glazing and panel upgrades.
All services are subject to availability, site suitability, technical feasibility, weather conditions, supplier lead times, and any applicable planning, building, access, or safety requirements. Any drawings, specifications, product descriptions, or estimates provided by us are indicative unless expressly stated otherwise in writing.
Unless expressly agreed, we do not provide architectural, structural engineering, or planning consultancy services. You are responsible for obtaining any necessary planning permissions, consents, permits, approvals, or third-party authorisations required for the project.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and up-to-date information relevant to the services requested;
- Ensure safe, lawful, and reasonable access to the site, including any required parking, access routes, utilities, and working space;
- Notify us in advance of any hidden hazards, underground services, fragile structures, asbestos, contamination, or other site risks;
- Obtain and maintain all necessary permissions, approvals, and consents;
- Prepare the site as reasonably required, including clearing obstructions and securing pets, valuables, and vulnerable items;
- Comply with all applicable health and safety instructions given by our staff, contractors, or installers;
- Inspect goods and services promptly upon delivery or completion and report any issues without undue delay.
You are responsible for any delay, additional cost, damage, or failure arising from inaccurate information, site unsuitability, failure to obtain permissions, or your breach of these Terms.
4. Payment Terms and Conditions
Prices will be set out in our quotation, invoice, or order confirmation. Unless otherwise stated, all prices are exclusive of VAT and any applicable taxes, duties, delivery charges, storage charges, waste disposal fees, or third-party costs.
Payment terms may include:
- A non-refundable deposit before work begins;
- Progress payments for staged projects;
- Payment in full prior to delivery or installation for certain goods or bespoke items; and
- Final payment upon completion, delivery, or handover, as applicable.
Where payment is not made by the due date, we may:
- Suspend or cancel work, delivery, or installation;
- Charge interest on overdue amounts at the maximum rate permitted by law;
- Recover reasonable debt collection and enforcement costs; and
- Retain title to goods until payment has been received in full, where permitted by law.
Any estimate or quotation may be withdrawn or revised before acceptance. We reserve the right to adjust the price if there are changes to specifications, quantities, site conditions, supplier costs, labour requirements, or applicable taxes.
5. Cancellation and Refund Policy
You may cancel a service request by giving written notice to us. Cancellations are subject to the following conditions:
- Deposits are generally non-refundable, except where required by law or where we agree otherwise in writing;
- For bespoke or custom-made greenhouse designs, structures, glazing, panels, fittings, or control systems, cancellation may not be possible once materials have been ordered, fabrication has begun, or work has started;
- If you cancel after we have incurred costs, you must pay for all work completed, materials ordered, administration, and any non-recoverable third-party charges;
- If installation or maintenance appointments are cancelled or rescheduled at short notice, we may charge a cancellation fee reflecting our reasonable losses and wasted time;
- Refunds, if any, will be processed only after deduction of amounts properly due to us.
If goods are faulty, materially not as described, or otherwise not in conformity with the contract, your statutory rights, if any, are not affected by this policy. Any replacement, repair, or refund will be handled in accordance with applicable law and the terms of the relevant contract.
6. Liability Limitations
Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.
Subject to the foregoing, Evergreen Glasshouse Solutions Ltd shall not be liable for:
- Any indirect, incidental, consequential, special, punitive, or exemplary loss or damage;
- Loss of profit, loss of business, loss of revenue, loss of goodwill, or loss of anticipated savings;
- Damage caused by improper use, lack of maintenance, adverse weather, ground movement, site conditions, or modifications made by third parties;
- Delays caused by supply shortages, transport disruptions, weather, access restrictions, or events outside our reasonable control;
- Failure of systems, components, or equipment supplied by third parties, except to the extent expressly covered by a manufacturer warranty or mandatory legal obligation.
Where our liability cannot be excluded, our total aggregate liability arising out of or in connection with any contract, whether in contract, tort, misrepresentation, restitution, or otherwise, shall be limited to the total amount paid or payable by you to Evergreen Glasshouse Solutions Ltd under the relevant order, except where a higher limit is required by law.
You are responsible for securing insurance appropriate to your project, including cover for property, contents, construction risks, and any business interruption you may incur.
7. Intellectual Property Rights
All intellectual property rights in our designs, drawings, plans, specifications, concepts, estimates, photographs, technical documents, branding, and written materials remain the property of Evergreen Glasshouse Solutions Ltd or our licensors unless otherwise agreed in writing.
Upon full payment, you are granted a non-exclusive, non-transferable right to use the final design, documentation, or deliverables supplied for the specific project for which they were created. You must not copy, reproduce, adapt, publish, sell, or distribute our materials for any other purpose without our prior written consent.
Where you supply content, images, measurements, or other materials to us, you warrant that you have the right to do so and grant us a licence to use them as necessary to provide the services.
8. Data Protection and Privacy
Evergreen Glasshouse Solutions Ltd processes personal data in connection with enquiries, quotations, orders, site visits, installations, aftercare, billing, and customer support. We will handle personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018, where applicable.
We may collect and use information such as your name, address, contact details, project requirements, payment details, and site information for the purpose of providing our services, managing our business, meeting legal obligations, and improving customer service.
We may share personal data with trusted third parties such as suppliers, installers, subcontractors, payment providers, insurers, IT providers, and legal or regulatory authorities where necessary and lawful.

9. Force Majeure
Evergreen Glasshouse Solutions Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure arises from events beyond our reasonable control, including but not limited to:
- Extreme weather, storms, flooding, fire, or natural disasters;
- Pandemics, epidemics, civil unrest, strikes, lockouts, or labour disputes;
- War, terrorism, governmental action, sanctions, or regulatory changes;
- Transport disruption, supply chain failure, material shortages, or equipment breakdown;
- Power outages, internet failures, or other utility interruptions.
Where a force majeure event occurs, we may suspend performance for the duration of the event, extend timescales, or cancel the affected services if performance becomes impracticable or impossible.
10. Changes to Terms
We may update or amend these Terms from time to time. The version in force at the time you place an order or accept a quotation will apply to that specific transaction unless a later change is required by law or expressly agreed in writing.
Any revised Terms will take effect when posted, issued, or otherwise communicated to you. Your continued use of our services after such notice constitutes acceptance of the updated Terms where permitted by law.
11. Applicable Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including any non-contractual dispute or claim, shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory consumer rights or other legal requirements that may apply.

13. Severability Clause
If any provision of these Terms is found by a court or competent authority to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect and shall not be affected or impaired by any such invalidity, illegality, or unenforceability.
